• All activities under your account
• Notifying us of unauthorized access

3. Candidate Representations

If you are a candidate, you represent that:

• All information provided is accurate and complete
• You are legally authorized to work in the applicable jurisdiction
• You will not submit false or misleading information
• You will update any changes promptly

4. Client Obligations

If you are a client, you agree to:

• Provide accurate job descriptions and requirements
• Comply with all applicable employment laws and regulations
• Notify us of placements within agreed timelines
• Pay fees as per agreed terms
• Ensure fair and non-discriminatory treatment of candidates

5. Fees and Payment

Fees are governed by separate service agreements. General terms include:

• Payments due as per agreed schedules
• Late payments may incur additional charges
• Fees are exclusive of applicable taxes
• Cancellation or modification fees may apply

6. Placement Guarantees

Placement guarantees are subject to client agreements:

• Replacement terms depend on agreed conditions
• Guarantee periods vary by engagement type
• Notification within the defined period is required
• Excludes circumstances beyond our control

7. Intellectual Property

All website content, materials, and branding are owned or licensed by Epsilon LATAM. You may not:

• Copy or distribute content without permission
• Use trademarks or branding without authorization
• Reverse engineer any part of our services
• Remove proprietary notices

8. Confidentiality

Both parties agree to maintain confidentiality of:

• Business and proprietary information
• Candidate profiles and data
• Commercial terms and pricing
• Any information marked confidential

9. Limitation of Liability

To the extent permitted by law:

• We are not liable for indirect or consequential damages
• Liability is limited to fees paid in the preceding 12 months
• We do not guarantee specific hiring or business outcomes
• We are not responsible for employer-employee relationships

10. Indemnification

You agree to indemnify and hold Epsilon LATAM harmless from claims arising from:

• Violation of these Terms
• Use of our services
• Inaccurate or misleading information provided
• Interactions with candidates, clients, or third parties

11. Termination

• For breach of these Terms
• For fraudulent or unlawful activity
• At our discretion, with or without notice
• Upon your written request

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Mexico. Any disputes shall be subject to the jurisdiction of courts in Guadalajara, Jalisco, Mexico.

13. Changes to Terms

We may update these Terms from time to time. Changes are effective upon posting. Continued use of our services constitutes acceptance of the updated Terms.

14. Severability

If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
